Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Prime Haul Inc. website and the PrimeIQ Driver mobile application (the “PrimeIQ Driver App” or “App”). By accessing or using the website or the App, you agree to these Terms.

If you do not agree, do not use the website or the App.

1. Authorized Use (B2B Tool)

PrimeIQ Driver App is a proprietary business tool intended only for authorized users (employees, contractors, and other users approved by Prime Haul Inc. or an approved tenant organization). Access requires a company/tenant code and valid credentials.

2. Account Responsibilities

You agree to:

  • Provide accurate information required to access the App;

  • Maintain the confidentiality of your login credentials; and

  • Notify us promptly if you suspect unauthorized access.

You are responsible for activities conducted under your account, subject to applicable law.

3. Driver Safety & Responsible Use

Do not use the App while operating a vehicle. You must comply with all local, state, and federal laws regarding distracted driving and hands-free operation.

The App may include safety controls (such as restricting certain actions while the vehicle is in motion). These controls are not a guarantee of safety. You remain responsible for safe operation and legal compliance at all times.

4. Acceptable Use

You agree not to:

  • Use the website or App for unlawful, harmful, or fraudulent purposes;

  • Attempt to access data or accounts you are not authorized to access;

  • Reverse engineer, decompile, or attempt to extract source code (except where legally permitted);

  • Interfere with or disrupt the App, systems, or security features;

  • Upload malicious code or harmful content; or

  • Use the App outside the scope of your authorized role.

We may restrict, suspend, or terminate access for violations.

5. Communications Feature

If the App includes messaging/communications features:

  • Communications are intended for operational purposes.

  • Abusive, harassing, illegal, or inappropriate content is prohibited.

  • Communications may be visible to authorized administrators for operational, safety, compliance, and security purposes.

  • We may restrict access, remove content, or take other actions as necessary to enforce policies and protect users.

6. Intellectual Property

The App, website, and all related content and features (including code, designs, logos, workflows, and documentation) are owned by Prime Haul Inc. or its licensors and are protected by applicable intellectual property laws.

You receive a limited, revocable, non-transferable license to use the App solely for authorized business purposes.

7. Availability and Changes

We may modify, update, suspend, or discontinue any part of the App or website at any time. We may also update these Terms.

8. Disclaimer of Warranties

The website and App are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted operation or error-free performance.

9. Limitation of Liability

To the fullest extent permitted by law, Prime Haul Inc. will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from or related to use of the website or App.

To the fullest extent permitted by law, Prime Haul Inc.’s total liability for claims relating to the website or App will not exceed the amount (if any) paid by the applicable tenant to Prime Haul Inc. for access to the App in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the maximum extent permitted by law.

10. Termination

We may suspend or terminate access at any time if:

  • Employment/contract ends,

  • These Terms or company/tenant policies are violated, or

  • We believe access poses a security, compliance, or safety risk.

Upon termination, your right to use the App ends immediately.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law principles.
